Terms and Legal Agreement
Art. 1 – TERMS OF USE
By accessing the “Mind Academy” platform, you agree to be bound by these Terms of Use, the Course Policy, the Non-Disclosure Agreement (NDA), the Data Protection provisions, and you agree to be responsible for compliance with any applicable local and international laws.
If you do not agree with any of these terms, you are prohibited from using or accessing this website.
The materials contained in this platform are protected by applicable copyright and trademark laws.
Art. 2 – COURSE POLICY
Participation in the course is personal, individual and non-transferable.
All educational content, lessons, materials, neurophysiological protocols, methodologies, mental training models, training structures and any other content or information disclosed within the course constitute the intellectual property, proprietary know-how and trade secrets of Alessandro Vergendo and VEGA Consultancies LLC.
Such content is protected under the Federal Laws of the United Arab Emirates, including applicable regulations concerning intellectual property, protection of trade secrets and unfair competition, as well as under international conventions relating to copyright and industrial and commercial property.
Any form of the following is strictly prohibited:
• reproduction
• distribution
• recording
• disclosure
• commercial exploitation
of the materials, content, logos, naming or methodology of the course outside the authorized educational purposes.
The above restrictions apply to any content delivered through the digital platform, including video lessons, downloadable materials, presentations, protocols and any other educational content.
Art. 3 – NON-DISCLOSURE AGREEMENT (NDA)
Confidentiality and Protection of Intellectual and Commercial Property
3.1 – Premises
The Parties intend to initiate educational and training activities related to the Deep Inside – State of Mind® methodology, aimed at improving the educational quality of courses, enhancing professional knowledge, and promoting best practices in the field of wellbeing and neurocognitive enhancement (the “Purpose”).
In connection with such Purpose, the Parties acknowledge that it may be necessary to exchange confidential information and proprietary materials.
3.2 – Confidentiality Obligations
a) Each Party shall keep, or ensure that its representatives keep, any information provided by the Provider strictly confidential and protected with a level of protection no less than that applied to its own confidential information, in compliance with applicable laws.
b) Each Party agrees not to disclose, copy, reproduce or distribute such information for purposes other than the Purpose or to parties other than the Authorized Recipients.
c) Each Party agrees not to use such information for purposes other than the discussion, evaluation or negotiation of the Purpose without the prior written consent of the Provider.
d) If a Party is required by law, regulation or by a governmental or regulatory authority to disclose such information, it shall, to the extent permitted by law, promptly notify the Provider and provide a copy of the disclosure request.
e) The Client acknowledges that all contents, materials, methodologies, protocols, trademarks and confidential information relating to the Deep Inside – State of Mind® program are the exclusive intellectual and commercial property of Alessandro Vergendo and VEGA Consultancies LLC, protected under the federal laws of the United Arab Emirates and international conventions on intellectual property and copyright.
3.3 – Client Obligations
The Client agrees to:
a) not disclose, reproduce, develop methods, training programs, protocols or derivative models based on the course content;
b) not distribute, modify, commercialize or share — in any form, including digital form — materials, contents or knowledge acquired during the course without the prior written authorization of the Provider;
c) not create, promote or commercialize programs that may appear identical, similar or confusingly similar to the Deep Inside – State of Mind® methodology;
d) maintain the strictest confidentiality regarding all information, protocols, research and content shared;
e) refer to the concepts learned exclusively within their own professional activity, without any right to reproduce, teach or transfer the methodology;
f) refrain from any train-the-trainer activity, reverse engineering, academic validation or profit-oriented use without prior written authorization.
3.4 – Intellectual and Commercial Property Rights
a) This Agreement does not assign or transfer in any way any pre-existing intellectual property rights (Background IP) owned by the Provider before or on the date of signature.
b) With respect to the Provider Materials:
(i) The Provider (VEGA Consultancies LLC) shall retain ownership of all intellectual and commercial property rights relating to the Provider Materials;
(ii) The Provider grants the Client a non-exclusive, royalty-free and non-transferable license to use the Provider Materials exclusively within the scope of the courses and for the duration of this Agreement.
c) The Deep Inside – State of Mind® method, used by the Provider in the activities covered by this Agreement, including all related materials, protocols, content and denominations, is the exclusive work of Dr. Alessandro Vergendo.
d) The Client acknowledges that all intellectual and commercial property rights, as well as the materials, methods, content and know-how provided, remain the exclusive property of the Provider.
3.5 – Governing Law and International Protection of Intellectual Property
This Agreement shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai, without regard to conflict of law principles.
The Parties acknowledge that the proprietary methodologies, educational materials, protocols, know-how, conceptual models, training structures and any other content disclosed within the course constitute the intellectual property, proprietary know-how and trade secrets of the Provider.
Such rights are protected not only under the laws of the United Arab Emirates, but also under the main international intellectual property conventions.
3.6 – Injunctive Relief and Equitable Remedies
The Client acknowledges that any violation of the provisions of this Agreement may cause serious and irreparable harm to the Provider.
Accordingly, the Provider shall be entitled to seek:
• immediate injunctive relief
• equitable remedies
• enforcement of its intellectual and commercial property rights worldwide.
3.7 – Knowledge Extraction and Reconstruction Prohibition
The Client expressly agrees that it shall not use the knowledge acquired through the course to reconstruct or recreate the methodology or develop competing systems.
3.8 – Misappropriation of Methodological Know-How
Any attempt to appropriate or replicate the methodological knowledge shall be considered misappropriation of proprietary know-how.
3.9 – Protection Against Conceptual Imitation
The Client agrees not to create or promote any methodology or training system that reproduces the conceptual logic or architecture of the Deep Inside – State of Mind® methodology.
Art. 4 – DATA PROTECTION
The Parties undertake to comply with applicable data protection regulations (Federal Decree-Law No. 45/2021 – UAE).
Art. 5 – PUBLICATIONS AND DISCLOSURES
The Client shall not publish results, materials or content derived from the course without the Provider’s written approval requested at least 90 days in advance.
Art. 6 – GOVERNING LAW, ARBITRATION AND JURISDICTION
Any dispute shall be resolved through international arbitration at ADGM (Abu Dhabi Global Market).

Art. 7 – CONSENT TO PERSONAL DATA PROCESSING
The undersigned declares to have read and accepted the Privacy Policy under UAE Data Protection Law.
Art. 8 – CHANGES TO TERMS OF USE
The platform may revise these Terms of Use at any time without notice.
Art. 9 – SUSPENSION OR REVOCATION OF ACCESS
The Mind Academy platform reserves the right to suspend or revoke access in case of violation of these Terms.
Art. 10 – Protection of the Methodology and Prohibition of Derivative Works
The Deep Inside – State of Mind® methodology constitutes the exclusive intellectual and commercial property of VEGA Consultancies LLC and Dr. Alessandro Vergendo.
Art. 11 – Penalty Clause for Violation of Intellectual Property Rights
In case of violation, the Client shall be liable for full compensation of damages, including economic losses and legal costs.
Art. 12 – No License Granted and Entire Agreement
Nothing in this Agreement grants the Client any license or right to commercially use the Deep Inside – State of Mind® methodology.
Art. 13 – Prohibition of Academic Validation and Unauthorized Research
The Client shall not conduct scientific research, academic validation or publication based on the methodology without prior written authorization.
Art. 14 – Prohibition of Conceptual Replication of the Methodology
The Client agrees not to replicate or reconstruct the conceptual structure of the methodology.
Art. 15 – Presumption of Ownership of Intellectual Property
Any concept or system substantially derived from the Deep Inside – State of Mind® methodology shall be presumed to originate from the Provider’s proprietary methodology.
Art. 16 – Global Protection of Intellectual Property
The Parties acknowledge that the Deep Inside – State of Mind® methodology, including all related materials, frameworks, protocols, conceptual structures and training systems, constitutes proprietary intellectual property and trade secrets of VEGA Consultancies LLC and Dr. Alessandro Vergendo.
Such intellectual property shall be protected globally, including but not limited to protections arising under:
• international copyright conventions
• international trade secret protection frameworks
• international unfair competition regulations
• applicable intellectual property laws in any relevant jurisdiction.
The Client acknowledges that any unauthorized use, reproduction, adaptation or commercial exploitation of the methodology may constitute infringement under applicable international intellectual property laws.
Art. 17 – Worldwide Enforcement
The Client acknowledges that violations of these Terms may cause irreparable harm to the Provider.
Accordingly, the Provider shall be entitled to seek enforcement of its rights and remedies in any competent court or jurisdiction worldwide, in addition to any arbitration procedures established in this Agreement.
Such remedies may include:
• injunctive relief
• equitable remedies
• damages for economic and reputational loss
• recovery of legal costs and enforcement expenses.
Art. 18 – Survival of Intellectual Property and Confidentiality Obligations
All provisions relating to:
• confidentiality
• intellectual property
• proprietary know-how
• trade secrets
• protection of the Deep Inside – State of Mind® methodology
shall survive indefinitely following the termination or expiration of access to the course, the platform or any related agreement.
The Client acknowledges that obligations concerning trade secrets and proprietary methodologies remain binding for as long as such information retains its confidential nature.
Art. 19 – Presumption of Derivation and Burden of Proof
The Client acknowledges that the Deep Inside – State of Mind® methodology, including its theoretical frameworks, conceptual models, training structures, operational protocols, educational sequences and analytical tools, constitutes proprietary intellectual property and confidential know-how of VEGA Consultancies LLC and Dr. Alessandro Vergendo.
In the event that the Client, or any third party having had access to the course content, develops, promotes or commercializes any methodology, training system, consulting framework or educational program that presents substantial similarity in structure, logic, conceptual architecture or training processes to the Deep Inside – State of Mind® methodology, such methodology shall be presumed to derive from the Provider’s proprietary methodology, unless the Client demonstrates, through clear and documented evidence, that such development was independently created without any use or reference to the course content.
The Client acknowledges that the purpose of this clause is to protect the integrity, originality and proprietary nature of the Deep Inside – State of Mind® methodology, and that this presumption may be invoked by the Provider in any competent jurisdiction worldwide.
By registering for the course or accessing the Mind Academy platform, the Client confirms that they have read, understood and accepted these Terms of Use, including all provisions relating to intellectual property, confidentiality and protection of the Deep Inside – State of Mind® methodology.
